Terms and Conditions

1. Consultant's Services

Consultant shall be available and shall provide to the Client consulting services in the area of nutrition and fitness with additional support as requested.

2. Terms

a. Submitting Initial Form
Submitting the Agreement Form does not oblige the Client to participate in the program. The Client may decide to decline service at any time before the Initial Consultation to receive a full refund of any money paid (see Terminating Subscription).
 
b. Rate
In consideration for the Consulting Services to be performed by Consultant under this Agreement, the Client will pay Consultant at the rate of $95 for the first four weeks, then $65/month (four weeks) thereafter (or special discounted rate according to Three and Six-Month subscriptions) until Client terminates the subscription.
 
c. Payment Due Dates
 Four-Week Subscription:
The Client will pay the $95 first four-week's fee before services begin. After that, the Client will receive an invoice for $65 every four weeks to be paid within the first seven days of the new four-week period until the Client cancels the subscription. If the Client fails to pay within the first seven days of the new four-week period, the subscription will be canceled.

Three/Six-Month Subsciption:
If the Client chooses to pay for a three or six-Month subscription, the total amount of $200 or $335, respectively, must be paid in full before services begin. Once the designated three or six-month period ends, the Client will have to pay in full for another three or six-month subscription, or subscribe to the Month-to-Month Plan to continue service.
 
d. Terminating Subscription
Four-Week Subscription:
If the Client decides to terminate the subscription, the Client must notify the consultant within seven days of the start of a new four-week period (even if s/he has paid for that month). If the Client fails to notify the Consultant of cancellation within the seven days of the next four-week period, s/he shall owe payment in full for that four-week period. Notification of cancellation consists of emailing the Consultant to inform her of the ending of the subscription. Over-the-phone termination must be supplemented with an email. The Client can cancel the service any time before the Initial Consultation to receive a full refund for any money paid. Consultant may terminate the Client’s subscription to service at anytime, and will refund client for any unused subscription period on a pro-rated basis.
 
Three/Six-Month Subscription:
If the Client decides to terminate the subscription, the Client must notify the consultant within seven days of the start of service (day of Initial Consult). Notification of cancellation consists of emailing the Consultant to inform her of the ending of the subscription. Over-the-phone termination must be supplemented with an email. The Client can cancel the service any time before the Initial Consultation to receive a full refund for any money paid. Consultant may terminate the Client’s subscription to service at anytime, and will refund client for any unused subscription period on a pro-rated basis.
 
e. Refund Guarantee
For all plans, if Client is not satisfied with his/her plan, s/he may outline the dissatisfaction in a written document and email to the Consultant within thirty days of the start of service (day of Initial Consult). Upon review and fair consideration of the Client’s dissatisfactions, the Client may be partially or fully refunded for services rendered, minus any fees for online transfer of money.

f. Confidentiality
The Consultant agrees to keep all information in the Client Agreement Form and Initial Evaluation confidential, and will not to discuss or divulge it to anyone. The Consultant will not divulge any identifying information about the Client when consulting with the Panel of Experts.

g. Start of Subscription
The first day of service officially begins when the Client and Consultant conduct the 45-minute Initial Consultation .
 
3.  Disclaimer
 
The Client understands that the Consultant is not a Registered Dietitian. The information the Consultant provides is not to be taken as medical advice. The Client hereby agrees to expressly assume and accept any and all risks that s/he may suffer, and hereby irrevocably releases Your Healthista LLC, its agents, officers, and employees from any liability with respect to these risks while participating in this health and wellness program. The Client accepts these policies as they relate to nutritional counseling services with Your Healthista LLC and nondisclosure policies regarding personal information.

4. Severability

If any provision of this Contract is held unenforceable, then such provision will be modified to reflect the parties' intention. All remaining provisions of this Contract shall remain in full force and effect.

5. Governing Law

Any controversy or claim arising out of or relating to the contract, or breach thereof, shall be settled by arbitration administered by the American Arbitration Association, under the Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. Any questions involving contract interpretation shall be resolved under the laws of the State of Michigan. The decision of the arbitrator shall be final and binding upon all Parties.

6. Final Agreement

The Client and Consultant acknowledge that this agreement is the entire Agreement between the Client and Consultant and completely supersedes any prior written or oral agreements, and all prior understandings between the Client and Consultant.
